Welcome to Pro Deo LMS. These Terms of Service ("Terms") govern your access to and use of the Pro Deo Learning Management System platform, including any associated mobile applications, websites, and services (collectively, the "Service"). Please read these Terms carefully before using our Service.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service, including but not limited to school administrators, teachers, students, parents, and guardians.

2. Description of Service

Pro Deo LMS is a multi-tenant learning management system that provides educational institutions with tools for:

• Student information management and enrollment
• Academic records and grade management
• Attendance tracking and reporting
• Online learning and course management
• Communication between teachers, students, and parents
• Fee management and payment processing
• Examination and assessment management
• Report card generation and academic analytics

3. Account Registration

3.1 School/Institution Accounts

To use the Service as an educational institution, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 User Accounts

Individual users (administrators, teachers, students, parents) may be granted accounts by their respective institutions. Users must provide accurate information and comply with their institution's policies in addition to these Terms.

3.3 Age Requirements

Users under the age of 18 must have parental or guardian consent to use the Service. Schools are responsible for obtaining necessary consents for minor students.

4. Subscription and Payment

4.1 Subscription Plans

Access to certain features of the Service requires a paid subscription. Subscription plans, pricing, and features are described on our website and may be modified from time to time.

4.2 Free Trial

We may offer a free trial period for new subscribers. At the end of the trial period, your subscription will automatically convert to a paid subscription unless cancelled.

4.3 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

4.4 Price Changes

We reserve the right to modify subscription prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service
• Use the Service for any commercial purpose not expressly permitted
• Collect or store personal data about other users without their consent
• Upload viruses, malware, or other malicious code
• Engage in academic dishonesty, cheating, or fraud

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of all content you upload, submit, or display through the Service ("User Content"). By submitting User Content, you grant Pro Deo LMS a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content solely for the purpose of providing the Service.

6.2 Our Content

The Service and its original content (excluding User Content), features, and functionality are owned by Pro Deo Enterprise and are protected by international copyright, trademark, and other intellectual property laws.

6.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without any obligation to you.

7. Data Protection and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.1 Student Data

We are committed to protecting student data. Schools are responsible for obtaining necessary consents for the collection and processing of student information. We will not sell student data to third parties or use it for advertising purposes.

7.2 Data Security

We implement appropriate technical and organizational measures to protect your data. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.

8. Service Availability and Modifications

8.1 Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of significant changes that may affect your use of the Service.

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting our support team. Upon termination, you will lose access to the Service and your data may be deleted in accordance with our data retention policies.

9.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable.

9.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

10. Disclaimers and Limitations of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRO DEO ENTERPRISE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

10.3 Cap on Liability

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pro Deo Enterprise, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or relating to your use of the Service or violation of these Terms.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to binding arbitration in Accra, Ghana.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Pro Deo Enterprise regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
